Terms of Service - Verity Aegis

These Terms of Service govern your use of Verity Aegis AI compliance consulting services, including our website, assessments, audits, and related professional services. By engaging our services, you agree to be bound by these terms.

Services Provided

Verity Aegis provides AI compliance consulting services including, but not limited to:

AI system risk assessments and audits
Compliance consulting for NYC AEDT, CA ADMT, CA SB 53, Colorado AI Act, and NIST AI RMF
Bias testing and algorithmic fairness evaluations
Regulatory compliance documentation and reporting
Ongoing compliance monitoring and support
Technical testing using our proprietary 48-prompt evaluation framework

Service Engagement and Scope

Each client engagement begins with a clearly defined scope of work, deliverables, and timeline. Services may be provided as:

One-time sprints: Fixed-scope assessments delivered within agreed timeframes (typically 2 weeks)
Retainer arrangements: Ongoing monthly compliance support with defined service levels
Custom engagements: Tailored compliance programs based on specific client needs

All services are subject to a signed service agreement or statement of work that specifies deliverables, fees, and terms specific to that engagement.

Professional Nature of Services

Verity Aegis provides expert consulting services based on our knowledge of AI regulations and industry best practices. However:

Our services do not constitute legal advice. We recommend clients consult with qualified legal counsel for legal interpretations
Compliance assessments reflect regulatory requirements as understood at the time of service delivery
Regulatory landscapes evolve, and clients are responsible for maintaining ongoing compliance as regulations change
Our assessments and recommendations are based on information provided by clients and the AI systems we are able to evaluate

Client Responsibilities

To enable us to provide effective services, clients agree to:

Provide accurate and complete information about AI systems being assessed
Grant necessary access to systems, data, and documentation required for assessments
Respond to information requests in a timely manner
Implement recommended compliance measures as appropriate for their business
Inform us of material changes to AI systems that may affect compliance
Maintain the confidentiality of our proprietary testing methodologies and frameworks

Fees and Payment Terms

Service fees are specified in your service agreement. Standard terms include:

Sprint-based services: 50% due upon engagement, 50% upon delivery
Retainer services: Billed monthly in advance
Payment due within 15 days of invoice
Late payments may result in service suspension and interest charges

Fees are subject to change with 30 days' notice for ongoing retainer services.

Confidentiality and Non-Disclosure

Verity Aegis maintains strict confidentiality regarding:

All client information, AI system details, and proprietary data
Assessment results and audit findings
Business strategies and competitive information
Any information designated as confidential by the client

We will not disclose client information to third parties except as required by law or with explicit client authorization. Confidentiality obligations survive termination of services.

Intellectual Property

Verity Aegis Property: Our proprietary testing frameworks, methodologies, software tools, and evaluation techniques remain our exclusive intellectual property.

Client Deliverables: Reports, assessments, and documentation created specifically for a client become the client's property upon full payment, while Verity Aegis retains the right to use generalized learnings and anonymized insights.

Client Data: All rights to client data, AI systems, and proprietary information remain with the client.

Limitation of Liability

To the fullest extent permitted by law:

Verity Aegis's liability is limited to the fees paid for the specific service giving rise to the claim
We are not liable for indirect, consequential, or punitive damages
We are not liable for regulatory fines or penalties imposed on clients
We are not responsible for client's implementation or non-implementation of recommendations
Our assessments are based on information available at the time and regulations as understood at that time

Warranties and Disclaimers

Verity Aegis warrants that services will be performed with professional care and expertise. However:

We do not warrant that compliance assessments will prevent all regulatory issues
We do not guarantee regulatory approval or certification
Regulatory interpretations may vary, and enforcement approaches can change
Services are provided "as is" with respect to accuracy of regulatory predictions

Term and Termination

Sprint Services: Governed by the specific statement of work. Either party may terminate for material breach with written notice.

Retainer Services: Either party may terminate with 30 days' written notice. Early termination of annual agreements may be subject to early termination fees as specified in the service agreement.

Effect of Termination: Clients remain obligated to pay for services rendered through the termination date. Confidentiality obligations survive termination.

Changes to Services and Terms

Verity Aegis reserves the right to modify these Terms of Service with notice to clients. Continued use of services after changes constitutes acceptance of modified terms. For active service engagements, changes take effect upon renewal or new engagement.

Governing Law and Dispute Resolution

These Terms are governed by the laws of California. Any disputes will first be subject to good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in accordance with the American Arbitration Association rules.

Independent Contractor Relationship

Verity Aegis is an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship between Verity Aegis and client.

Compliance with Laws

Both parties agree to comply with all applicable laws and regulations in the performance and receipt of services.
